Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Neuroframe, Inc., a Delaware corporation (“Neuroframe,” “we,” “us,” or “our”), and govern your access to and use of Neuroframe’s websites, applications, APIs, software, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes that entity.
1. The Services
Neuroframe provides software and services for communication, collaboration, and artificial intelligence. The Services may include:
- Messaging, channels, threads, file sharing, presence, search, and collaboration tools
- AI-powered conversational and workflow features
- SPs (Super Persons) — oracle-like AI systems that can reason, respond, and perform tasks
- APs (Artificial Persons) — AI systems designed to act in a more human-like and real-time manner, including interacting with software and connected systems
- Integrations, APIs, automations, and administrative controls
Some features may be offered on a free, paid, preview, alpha, beta, or early access basis.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services unless authorized through an Organization.
You may not use the Services if doing so violates applicable law.
3. Accounts
You agree to:
- Provide accurate account information
- Maintain the security of your credentials
- Be responsible for all activity under your account
You must notify us if your account is compromised.
4. Organizations
If you use the Services through an Organization, that Organization may control your account and usage.
Organization administrators may:
- Add or remove users
- Access, modify, export, or delete content
- Control permissions and integrations
- View logs and activity
By using an Organization account, you acknowledge this control.
5. Content
You may submit content (“Input”) and receive AI-generated content (“Output”).
Together, these are “Content.”
You are responsible for your Content and ensuring you have the rights to use it.
6. Ownership
- You retain ownership of your Input
- You own Output generated for you
To the extent any rights in Output belong to Neuroframe, they are assigned to you.
If you are part of an Organization, the Organization may control Content under its policies.
7. AI Output Limitations
Due to the nature of AI:
- Output may not be unique
- Output may be inaccurate or incomplete
- Similar outputs may be generated for others
You are responsible for evaluating Output before relying on it.
8. High-Risk Use
You must not rely on the Services as the sole basis for decisions involving:
- Legal matters
- Medical care
- Financial decisions
- Employment or housing
The Services do not provide professional advice.
9. SPs, APs, and Actions
You may enable SPs, APs, and integrations to act on your behalf.
You are responsible for:
- Permissions you grant
- Actions taken by these systems
- Connected services and credentials
You must not authorize actions you are not legally permitted to allow.
10. Acceptable Use
You may not:
- Use the Services unlawfully
- Violate intellectual property rights
- Distribute malware or spam
- Attempt to reverse engineer the Services
- Use the Services to build competing AI models
- Impersonate others
- Abuse or harm others
- Access systems without authorization
We may enforce additional policies.
11. Third-Party Services
The Services may connect to third-party systems.
Neuroframe is not responsible for third-party services or their behavior.
11.1 Google API Services
11.1.1 Use of Google API Services
Neuroframe’s use of information received from Google API Services will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
11.1.2 Google Account Access & OAuth
If you choose to connect your Google account, you authorize Neuroframe to access certain information from your Google account (such as Google Drive files or basic profile information) solely to provide and operate the Services.
11.1.3 Limited Use of Google User Data
Neuroframe agrees to the following with respect to data obtained through Google API Services:
- We will only use Google user data to provide or improve user-facing features of the Services
- We will not use Google user data for advertising purposes
- We will not sell Google user data to third parties
- We will not use Google user data to develop, improve, or train generalized artificial intelligence or machine learning models
- We will not transfer Google user data to third parties except:
- as necessary to provide the Services; and
- in compliance with applicable law
11.1.4 User Control and Revocation
You can revoke Neuroframe’s access to your Google account at any time through your Google account security settings:

Upon revocation, Neuroframe will cease accessing your Google data. Previously accessed data will be deleted or retained in accordance with our data retention policies and applicable law.
11.1.5 Data Security
Neuroframe implements appropriate technical and organizational measures to protect Google user data against unauthorized access, disclosure, or misuse. Access to such data is limited to what is necessary to provide the Services.
11.1.6 Independent from Google
Neuroframe’s Services are independent from Google. Google is not responsible for the Services, and your use of Google services remains subject to Google’s own terms and policies.
12. Feedback
You grant Neuroframe a perpetual, royalty-free license to use any feedback you provide.
13. Privacy
Our Privacy Policy governs how we handle personal data.
Organizations may separately control how data is handled within their environment.
14. Confidentiality
We will use confidential information only to provide and improve the Services, unless otherwise required by law.
Additional agreements may apply for enterprise customers.
15. Service Changes
We may modify or discontinue features at any time.
16. Beta Services
Beta features are provided “as is” with no guarantees.
17. Fees
If you use paid Services:
- Fees are non-refundable unless required by law
- Subscriptions renew automatically
- You are responsible for applicable taxes
18. Suspension and Termination
We may suspend or terminate access if:
- You violate these Terms
- Required by law
- Risk or harm is detected
- Payments are overdue
Organizations may also suspend users.
19. Disclaimer
THE SERVICES ARE PROVIDED “AS IS.”
WE DISCLAIM ALL WARRANTIES INCLUDING:
- Accuracy
- Reliability
- Fitness for purpose
20. Limitation of Liability
To the maximum extent permitted by law:
Neuroframe is not liable for indirect or consequential damages.
Total liability is limited to the greater of:
- Fees paid in the last 12 months
- $100 USD
21. Indemnification
You agree to indemnify Neuroframe for claims arising from:
- Your Content
- Your use of the Services
- Violations of these Terms
22. Dispute Resolution
Informal Resolution
We will attempt to resolve disputes informally first.
Arbitration
Disputes will be resolved by binding arbitration.
No Class Actions
You waive class action rights.
Opt-Out
You may opt out within 30 days.
23. Governing Law
These Terms are governed by the laws of Delaware.

25. Export Compliance
You must comply with all export and sanctions laws.
26. Miscellaneous
- These Terms are the full agreement
- If one provision is invalid, others remain
- We may assign these Terms
27. Changes
We may update these Terms. Continued use means acceptance.
